Autonomous agents are already scheduling, procuring, hiring, and routing work across the enterprise without formal ownership, dedicated identities, or audit trails. A playbook for getting ahead of the gap.

Somewhere in your enterprise an AI agent is scheduling meetings, drafting supplier contracts, triaging customer complaints, and routing security alerts to the appropriate engineer. In most organizations that’s happening very often without anyone having formally assigned the agent a job title, a risk class, an audit log, or any governance controls whatsoever. 

This is an accountability challenge, and it is something CXOs must solve as soon as they can.

This pattern repeats across business functions as procurement knows about vendor exposure. Finance knows about transaction risk. Legal often doesn’t know the agentic layer touching contracts exists at all. The same structural failure is playing out in HR, finance, and operations. It’s just doing so with less visibility into the consequences when something goes wrong.

Agentic AI Is Becoming the New Business Operating System

The use cases that have taken hold are narrower than marketing efforts from AI companies suggest but more consequential than most CXOs realize. In security, for example, agents triage phishing emails, summarize threat intelligence, and cut tickets to engineering. In finance, they flag anomalous transactions and route approvals. In HR, they screen applications and generate offer letter drafts. In procurement, they monitor supplier performance and surface contract renewal alerts. In customer operations, they resolve tier-one inquiries, escalate complaints, and draft response communications without a human ever seeing the original ticket.

Jonathan Cran, founder of Mallory, sees this moving fast in security, as agents will increasingly act as security analysts that perform routine tasks such as schedule daily intelligence digests, audit potential incidents, and instruct the system to cut a ticket when findings warrant engineering attention. The system writes the ticket, sets priority, routes it.

The same capability, an agent that can traverse systems, synthesize context, and produce a record is what finance teams are deploying against expense anomalies, what HR teams are using to process high-volume recruiting pipelines, and what legal operations teams are beginning to use for contract review queues, and how sales and marketing teams are automating their funnels.

The common thread? It’s agents acting on enterprise systems, with enterprise credentials, producing enterprise records and most of this activity runs through API tokens with no dedicated identity, no immutable log, and no named organizational owner. The agents are real. The risks are real. The governance hasn’t kept pace.

Reining in the Agents

What separates organizations building durable agentic capability from those accumulating ungoverned risk rests within a handful of key practices that make agentic growth manageable: 

Appointing an AI owner. Every agent operating on enterprise systems needs a named human accountable for its behavior. That’s not the vendor, not the entire team or department that deployed it, but a specific individual who can answer what the agent is authorized to do and what happens when something goes wrong. This can sit with the CISO, the CTO, a team or division lead, or an AI program office. Without it, accountability defaults to whoever is nearest the incident when it occurs.

Define agent classes. An agent that summarizes supplier performance reports operates in a different risk tier than one authorized to approve purchase orders, issue payments, or modify production infrastructure. A workable taxonomy: read-only agents that observe and recommend; workflow-execution agents that cut tickets, draft communications, and route approvals; and system-action agents that modify live systems or commit binding transactions. Each class warrants different approval requirements, identity controls, and logging standards. The relevant CXO executives need to agree on those standards before business units start building.

Enforce dedicated agent identities. The most common governance failure in current deployments is the use of shared credentials or personal API tokens. When an agent authenticates using a human user’s token, the audit trail is incoherent. There’s no way to determine what the agent did, distinguish its actions from a human’s, or revoke access cleanly when the agent is decommissioned. Dedicated service accounts, scoped to minimum required permissions and tied to rotation and revocation policies, are the identity hygiene that makes agentic systems auditable. 

Mandate human-in-the-loop for high-risk flows. Agent autonomy should be a function of policy. An agent capable of approving a contract, issuing a payment, or modifying a production system’s settings should do so only when organizational policy has explicitly authorized that action class. Most organizations haven’t written that policy yet, and fewer are enforcing it. “You create the barriers around a response action where the impact is going to be outsized,” Spencer said. “Ultimately you allow the agent to analyze and then you pull in humans for final decision-making,” he said on agentic systems making security decisions. That logic applies identically whether the agent is recommending a security response, vendor termination, flagging a regulatory filing, or isolating a network segment.

Require observability and immutable logging. Every agent action needs to produce a log that cannot be modified after the fact. This is the minimum bar for regulatory defensibility and incident reconstruction, and the mechanism that lets organizations tune agent behavior over time. Cran recommends persistent, retrievable threads, or records of every agent action with every human decision point logged alongside the agent’s recommendation. Organizations relying on vendor dashboards that don’t integrate with enterprise systems of record are not building auditable operations.

The Biggest Challenge Is Organizational

The hardest part of governing agents is organizational. Perhaps the CIO sets infrastructure and identity standards, while the CISO owns risk classification and monitoring, and the COO owns the business processes agents are executing. The CFO owns the financial workflows agents are touching. The CLO owns the contractual and regulatory exposure created when agents draft, route, or approve. 

Too often, business unit heads are the ones actually deploying agents, very often without telling anyone in that list. This produces a common situation as security and IT set policies that business units work around, because agents deliver real productivity and the policy overhead feels like friction. The answer isn’t tighter controls, technology bans, it’s earlier involvement by the governance team.

The governance structure that works requires agents to be registered before deployment with a named owner, a defined use case, and a stated risk class. The relevant CXO roles review the registration, flag gaps, and approve go-live. The agent also operates under a defined review cycle, not a set-and-forget deployment. The organizations that reach durable agentic capability fastest are the ones that build this structure before their agent surface becomes too large to govern retroactively.
